Agreement to these terms

These Terms of Service ("Terms") govern your use of the Jeriathan application and any related services (the "App"), made by Reid Olson Media ("we," "us," "our"). By installing or using the App you agree to these Terms and to our Jeriathan Privacy Policy. If you do not agree, do not use the App. Questions go to [email protected].

Who may use the App

You must be 18 or older to use the App. If you use it on behalf of a business, you confirm you have authority to bind that business to these Terms, and "you" includes that business.

Your license

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the App on Macs you own or control, for editing and publishing your own content. You may not copy, modify, distribute, sell, rent, sublicense, reverse engineer, or decompile the App, except where the law allows despite this restriction.

Your content

You own the footage, scripts, and videos you bring to and make with the App. We claim no rights in them. You are responsible for having the rights to everything you edit and publish, including music, footage of other people, and brand material, and for what you post to any platform. Do not use the App to make or publish anything unlawful, infringing, deceptive, or harmful.

Connected platforms

The App can connect to accounts you hold on third-party platforms. Those platforms have their own terms, and you agree to follow them:

The App acts on those platforms only when you tell it to. We are not responsible for the platforms' availability, decisions, policies, or changes to their APIs, which may limit or end features of the App.

AI-generated results

The App uses AI services to transcribe, choose takes, build edits, write captions, and suggest changes. These results can be wrong, incomplete, or unsuitable. Review everything before you publish it. You are responsible for what you publish, and we are not liable for the content of AI-generated results.

Fees

The App is currently offered in a private beta without fees from us. Third-party services the App uses, such as AI providers and ad platforms, may charge you under your own accounts with them. If we introduce paid plans, we will tell you the price and terms before you are charged.

Acceptable use

You agree not to: (a) use the App to violate any law or the rights of others; (b) use it to spam, mislead, or manipulate any platform, or to circumvent a platform's rules or rate limits; (c) interfere with or attempt to gain unauthorized access to any service the App connects to; or (d) share your access tokens, or use tokens or accounts you are not authorized to use.

Beta software and changes

The App is beta software. Features may change, break, or be removed, and we may update, suspend, or discontinue the App at any time. Keep your own backups of your projects.

Disclaimers

The App is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or secure, or that any result it produces is accurate or suitable for your purpose.

Limitation of liability

To the fullest extent permitted by law, Reid Olson Media and its owners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, content, revenue, ad spend, or goodwill, arising out of or related to your use of (or inability to use) the App. Where liability cannot be excluded, our total liability is limited to the amount you paid us for the App in the twelve months before the claim, or one hundred US dollars if you paid nothing.

Indemnification

You agree to indemnify and hold harmless Reid Olson Media from any claims, losses, or expenses (including reasonable legal fees) arising from content you edit or publish with the App, your use of connected platforms, or your violation of these Terms or the rights of another.

Termination

You can stop using the App at any time. We may suspend or end your access if you break these Terms. Sections that by their nature should survive, including those on your content, disclaimers, liability, and indemnification, survive termination.

Changes to these Terms

We may update these Terms. When we do, we will post the revised version here with a new "last updated" date, and announce material changes inside the App. Continued use after changes take effect means you accept them.

Governing law

These Terms are governed by the laws of the United States and the State of Texas, without regard to conflict-of-laws principles. Any dispute will be handled in the courts located in Texas, unless applicable law requires otherwise.
